By accessing, subscribing to, or using Odio VoiceBot services, you agree to these Terms & Conditions.

AI-powered voice automation services including inbound/outbound calling, customer support, appointment scheduling, surveys, analytics, and custom AI voice agents.

User Eligibility

Users must be 18 years or older and authorized to act on behalf of their organization.

Account Responsibilities

Users are responsible for account security, accuracy of information, and ensuring only authorized personnel have access.

Compliance & Call Consent

Customers must comply with all applicable telecom, privacy, and marketing regulations, and must obtain all required consents before initiating calls.

Acceptable Use Policy

Services may not be used for unlawful, fraudulent, abusive, or harmful activities of any kind.

Data Security & Privacy

Odio implements reasonable security measures to protect your data. Users acknowledge that no system is completely secure and accept associated risks.

Intellectual Property

All platform technology, software, branding, and materials remain the exclusive property of Odio.

Pricing & Billing

Fees are billed in accordance with the selected subscription plan and applicable usage charges as outlined at the time of subscription.

Service Availability

Continuous service availability is not guaranteed. Interruptions may occur due to scheduled maintenance or external factors beyond Odio’s control.

Limitation of Liability

Odio’s total liability is limited to the amount paid by the customer during the preceding 12 months. Odio is not liable for indirect, incidental, or consequential damages.

Indemnification

Users agree to indemnify and hold Odio harmless from any claims, losses, or damages arising from misuse of the platform or violation of these Terms.

Suspension & Termination

Odio reserves the right to suspend or terminate accounts for violations of these Terms or non-payment of applicable fees.

Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary and sensitive information shared during the course of the service relationship.

Force Majeure

Odio is not liable for failures or delays in service caused by events beyond its reasonable control, including natural disasters, government actions, or infrastructure failures.

Governing Law & Jurisdiction

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts of Gurugram, Haryana.

Changes to Terms

Odio may modify these Terms at any time. Updated versions will be published on the official website. Continued use of the service constitutes acceptance of the revised Terms.

Odio WhatsApp AI Bot — Terms & Conditions

WhatsApp Business API platform with automation, campaigns & live chat

Acceptance of Terms

By registering for, accessing, or using the Odio WhatsApp API Platform (“Platform”), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Platform.

Service Description

Odio provides businesses with access to WhatsApp Business API services, including:

  • WhatsApp Broadcasting & Campaign Management
  • Multi-Agent Live Chat & Shared Team Inbox
  • Audience Segmentation & Analytics
  • Automation, Chatbot Services & API Integrations
  • Click-to-WhatsApp Advertising Tools

Odio acts as a technology platform and may rely on Meta (WhatsApp) and other third-party service providers to deliver services.

Eligibility

To use the Platform, you must:

  • Be at least 18 years of age
  • Have authority to represent your business
  • Provide accurate and complete registration information
  • Comply with all applicable laws and regulations

WhatsApp Compliance

Users must strictly comply with:

  • Meta WhatsApp Business Policies
  • Meta Commerce Policies
  • Applicable data privacy laws
  • Anti-spam regulations

Odio reserves the right to suspend or terminate accounts that violate Meta policies or engage in prohibited activities.

User Responsibilities

You agree that you will not:

  • Send unsolicited or spam messages
  • Use purchased or scraped contact lists
  • Send misleading, fraudulent, or illegal content
  • Violate intellectual property rights
  • Attempt unauthorized access to the Platform

Users are solely responsible for obtaining valid customer consent before sending any WhatsApp communications.

Messaging Charges

WhatsApp template messaging charges are determined by Meta and may change without prior notice. Customers agree to pay:

  • Platform subscription fees
  • Applicable WhatsApp conversation/template charges
  • Applicable taxes and government levies

All payments are non-refundable except where required by law.

Account Suspension & Termination

Odio may suspend or terminate accounts for:

  • Policy violations or fraudulent activity
  • Non-payment of fees
  • Excessive abuse of platform resources
  • Requests from Meta or regulatory authorities

No refund shall be provided for accounts suspended or terminated due to violations.

Data Privacy

Odio processes customer data solely for the purpose of providing services. Users remain responsible for:

  • Obtaining valid customer consent
  • Maintaining lawful data collection practices
  • Complying with applicable privacy laws

Odio may store and process data on secure infrastructure for operational purposes.

Third-Party Services

The Platform may integrate with various third-party tools including Meta WhatsApp Business Platform, Shopify, Zapier, CRM systems, and advertising platforms. Odio is not responsible for downtime, policy changes, or failures of third-party services.

Service Availability

While Odio aims for maximum uptime, uninterrupted service cannot be guaranteed. Temporary interruptions may occur due to maintenance, third-party outages, internet disruptions, or force majeure events.

Intellectual Property

All platform software, branding, trademarks, content, and technology remain the exclusive property of Odio. Without prior written permission, users may not copy, reverse engineer, modify, resell, or redistribute any part of the Platform.

Limitation of Liability

To the maximum extent permitted by law, Odio shall not be liable for loss of revenue, loss of business opportunities, indirect or consequential damages, or customer data loss caused by third-party providers. Total liability shall not exceed the subscription fees paid by the customer during the preceding three (3) months.

Indemnification

Users agree to indemnify and hold harmless Odio, its employees, partners, and affiliates against claims arising from violation of these Terms, breach of laws or regulations, unauthorized use of the Platform, or customer complaints resulting from user actions.

Modifications

Odio reserves the right to update these Terms at any time. Updated Terms shall become effective immediately upon publication on the website. Continued use of the Platform constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Gurugram, Haryana.
